Merchant Agreement
Effective date: 31st Jan, 2025
This Merchant Agreement ("Agreement") is made between Goodjujuhk Limited ("Marketplace") and the seller who is registered and approved on this marketplace ("Merchant").
1. Definitions
1.1 "Goods and Services" refer to the products or services that Merchant offers for sale and which are subject to the terms of this Agreement.
1.2 "Transaction" refers to an action between Merchant and a Customer involving the exchange of Goods and Services for payment.
2. Terms and Conditions of Service
2.1 The Marketplace provides a platform for goods and services providers to list their classes, manage bookings, and facilitate transactions with customers.
2.2 Merchant acknowledges that they will only sell Goods and Services that are legal and in compliance with all applicable local, state, and federal laws.
3. Commission Structure
3.1 Merchant agrees to pay all fees and charges as detailed below:
a. Transaction Fees: Merchant agrees to pay Marketplace a fee for each Transaction processed under this Agreement. The standard Transaction fee is 8% of the value of each Transaction. Transaction fees are deducted from the Transaction amount before it is deposited into the Merchant's account.
3.2 Marketplace shall be authorized to deduct all fees and charges directly from processed payments.
4. Payment Terms
4.1 Payments to the Merchant will be processed within a month upon the booking of the listing.
4.2 The Marketplace will provide the Merchant with a detailed report of all transactions incurred during the payment period.
5. Cancellation Policy
5.1 The Merchant must notify the Marketplace of any class cancellations at least 24 hours prior to the scheduled class time.
5.2 In the event of a cancellation, the Merchant agrees to refund the full amount paid by the customer.
5.3 If a class is canceled less than 24 hours before the scheduled time, the Merchant may be subject to a cancellation fee of HKD500.
6. Merchant Obligations
6.1 The Merchant shall provide accurate and up-to-date information regarding class offerings, including but not limited to class descriptions, schedules, and pricing.
6.2 The Merchant agrees to comply with all applicable laws and regulations governing their services.
7. Prohibition on External Communication and Transactions
7.1 The Merchant agrees not to communicate personal contact details (including, but not limited to, phone numbers, email addresses, or any other personal identifiers) through in-app communication features. Furthermore, the Merchant shall not solicit or engage in any transactions for services outside of the platform as a result of in-app communications. Any violation of this provision may result in immediate termination of the Merchant's account and further legal action as deemed necessary by the Company.
8. Liability and Indemnification
8.1 The Merchant agrees to indemnify and hold harmless the Marketplace from any claims, damages, or liabilities arising from the Merchant's services.
8.2 The Marketplace is not liable for any direct or indirect damages resulting from the Merchant's services.
9. Term and Termination
9.1 This Agreement shall commence on the Effective Date and continue for a period of one (1) year, and thereafter shall automatically renew for successive one (1) year terms unless either Party provides written notice of its intent not to renew at least thirty (30) days prior to the end of the then-current term.
9.2 Either Party may terminate this Agreement upon breach by the other Party, provided the breaching Party is given written notice and fails to cure the breach within thirty (30) days.
10. Confidentiality
10.1 Both parties agree to keep all confidential information, including customer data and financial information, private and secure.
11. Governing Law
11.1 This Agreement shall be governed by the laws of Hong Kong Special Administrative Region of the Peoples Republic of China. You agree to submit to the non-exclusive jurisdiction of the Hong Kong court.
12. Dispute Resolution
12.1 Any disputes under this Agreement will be resolved by negotiation between the Parties or, failing agreement, by arbitration.
13. Amendments
13.1 This Agreement may only be amended in writing and signed by both parties.
14. Entire Agreement
14.1 This Agreement constitutes the entire agreement between the Parties and supersedes all prior or contemporaneous understandings, whether written or oral.
By registering as a merchant, both Parties acknowledge that they have read, understood, and agreed to the terms and conditions of this Agreement.
